1. Acceptance of Terms

By accessing, browsing, or using the Helloo Local platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms") and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this Platform.

2. Platform Description and Role

IMPORTANT: Helloo Local is SOLELY a technology platform that facilitates connections between independent sellers and buyers. We are NOT a party to any transactions, do NOT sell products or services ourselves, and do NOT act as an agent, broker, or representative of any seller or buyer.

We provide technology infrastructure only. All transactions, communications, negotiations, deliveries, pickups, payments, and disputes occur directly between users without our involvement, participation, or oversight.

3. COMPREHENSIVE DISCLAIMER OF LIABILITY

Helloo Local explicitly disclaims all liability for:

• Product Quality & Safety: Food poisoning, allergic reactions, contamination, spoilage, or any health issues from products
• Transaction Disputes: Payment issues, non-delivery, wrong items, pricing disputes, or order cancellations
• Personal Safety: Any incidents during pickup, delivery, or meetings between users
• Property Damage: Damage to property during transactions or deliveries
• Legal Compliance: Sellers' failure to comply with health codes, business licenses, tax obligations, or other regulations
• Fraud or Misrepresentation: False advertising, fake profiles, or deceptive practices by users
• Data Loss: Loss of listings, messages, or other user data
• Platform Availability: Service interruptions, technical issues, or platform downtime
• Third-Party Actions: Actions of sellers, buyers, delivery persons, or any third parties
• Consequential Damages: Lost profits, business interruption, or indirect damages of any kind

4. USER INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Helloo Local, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of the Platform
• Your transactions with other users
• Your violation of these Terms
• Your violation of any rights of another party
• Your violation of any applicable laws or regulations
• Any products or services you sell through the Platform
• Any content you post or transmit through the Platform
• Any disputes with other users

5. ASSUMPTION OF RISK

BY USING THIS PLATFORM, YOU EXPRESSLY ASSUME ALL RISKS ASSOCIATED WITH:

• Meeting strangers for transactions
• Consuming food or using products from unknown sources
• Sharing personal information with other users
• Making payments to other users
• Relying on user-generated content and reviews
• Any activities related to your use of the Platform

You acknowledge that Helloo Local cannot and does not verify the identity, credentials, or background of users, nor the quality, safety, or legality of products and services offered.

6. NO WARRANTIES

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.

7. LIMITATION OF DAMAGES

IN NO EVENT SHALL HELLOO LOCAL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Personal injury or death
• Property damage
• Lost profits or business interruption
• Loss of data or information
• Cost of substitute goods or services
• Any other damages, whether based on contract, tort, negligence, strict liability, or otherwise

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED $100 (ONE HUNDRED DOLLARS).

8. DISPUTE RESOLUTION AND ARBITRATION

Any dispute arising out of or relating to these Terms or your use of the Platform shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if your claims qualify.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in Phoenix, Arizona, or conducted telephonically/online.

YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS.

Users are strictly prohibited from:

• Selling illegal, unsafe, or prohibited items
• Posting false, misleading, or fraudulent content
• Harassing, threatening, or discriminating against other users
• Attempting to circumvent platform security measures
• Using the platform for money laundering or other illegal activities
• Violating intellectual property rights
• Spamming or sending unsolicited communications
• Creating fake accounts or impersonating others

11. ACCOUNT TERMINATION

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately.

12. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.

13. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. MODIFICATIONS TO TERMS

Helloo Local reserves the right to modify these Terms at any time without prior notice. Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms.
